25/04/2023 - Financial Law Committee - CLLS letter prospectus regime - 18 04 2023
The CLLS Financial Law Committee wrote to the Economic Secretary to the Treasury and City Minister on the issue of the Financial Services and Markets Act 2000 (Public Offers and Admissions to Trading) Regulations 2023. The committee expressed concerns that the proposed changes brought within the scope of the new Public Offer prohibition many transactions wholly unsuited to the regime set out in the proposed Statutory Instrument, and suggested other routes by which the aims of the SI could be achieved.
25/01/2023 - Digital assets - CLLS Final Evidence to HL Committee on the Electronic Trade Documents Bill
The Financial Law Committee of the CLLS considered and responded to the Law Commission's "Digital assets: Call for Evidence", its Consultation Paper on "Digital assets: electronic trade documents" and its subsequent Consultation Paper on Digital Assets. Following on from these submissions, the CLLS was invited to provide observations to the House of Lords Special Public Bill Committee regarding the Electronic Trade Documents Bill. The Chair of the Financial Law Committee of the CLLS, Dorothy Livingston, was asked by the CLLS to give oral evidence to the Committee. This paper was prepared for that hearing on 26th January 2023.

The consultation considered some of the key issues to be addressed in the transposition of the Bank Recovery and Resolution Directive, and sought views from industry and others potentially affected by the changes. The submission responded in detail to the consultation questions. It also urged the Government, once the current round of legislation is complete, to address as a priority the production of consolidated legislation in the fields of financial services and bank regulation, or, at least, the prioritisation of production of official consolidated texts for the statutes and key SIs
03/09/2014 - Summary of July 2014 stakeholder meeting on the Financial Law Committee’s Secured Transactions Reform Discussion Paper 2: Fixed and Floating Charges on Insolvency
The Financial Law Committee recently produced a note which summarised the main issues discussed at a meeting held at Norton Rose Fulbright LLP on 15 July to discuss fixed and floating charges on insolvency. The meeting was held further to the Committee’s second discussion paper on secured transaction reform. As the summary stated, there were three key conclusions from the meeting: - “There is a problem with the existing law. It needs to be reformed." - “The first thing to do is to decide whether (and, if so, to what extent) there needs to be a levy on secured creditors to fund administrations.” - “If such a levy is required, it needs to be decided how to impose it in a way which is both fair and certain.“

The consultation sought stakeholders’ views on how the UK should implement the “Convention on International Interests in Mobile Equipment”, and the “Protocol on Matters Specific to Aircraft Equipment” to achieve the greatest economic benefit for the UK. The submission stated inter alia that the secondary legislation (which is being proposed to implement the Cape Town Convention into the laws of the UK) could be used to define clearly the boundary between the sphere of application of the Convention and existing law and, in so doing, it could help mitigate the Blue Sky problem.

The Consultation paper invited comments on three draft secondary instruments related to bail-in powers, and several other issues. The Committees’ joint response commented in detail on a number of issues including the inter-relationship between the Financial Services (Banking Reform) Act 2013 ("BRA"), statutory instruments made under the BRA and the Bank Recovery and Resolution Directive ("BRRD"); creditor hierarchy on Bail-in; preferential creditors; netting, set-off and protected arrangements; and valuations, bail-in and compensation. The response also commented on the Compensation Regulations and the Restriction Order.

A working party of the Financial Law Committee has published a second Discussion Paper on the issue of reform of the law of secured transactions in England. This second paper focusses on the requirement to draw a distinction between fixed and floating charges under insolvency legislation.
